Seller Terms

Introduction

  • You (the “Seller”) agree to these Seller Terms of Service when you use a SadaPay-generated payment link to sell goods or services (“Payment Link Service”).  The Payment Link Service is provided by SadaPay UK Ltd. (“SadaPay,” “we,” or “us”), a private company incorporated under the laws of the United Kingdom. These form a binding contract between you and SadaPay.
  • You agree that you are at least 18 years of age or above.
  • Payments processed through Payment Link Service are securely processed by licensed third-party payment processors including Checkout (UK) “Other Service Provider(s)”. Your use of Payment Link Services and consequent payment(s) are also subject to the Other Service Provider(s) privacy policies, terms of use, payment services, or other applicable terms and conditions.
  • In order to use the Payment Link Service you agree to provide additional information, including but not limited to links to your business profile or digital presence (website, freelancer platform profile, LinkedIn profile), business age, client(s) source, description of services being provided to client etc.

Our relationship with you

  • We serve as your commercial agent and you hereby authorize us to conclude the sale of goods and services on your behalf when you accept payments from Buyers using our Payment Link Service.
  • We serve as the Buyer’s invoicing service provider and the payments we collect from the Buyer on your behalf will constitute an effective conclusion of the sale and shall discharge the Buyer’s obligation to pay you.
  • We will be responsible to remit those payments onwards to you. In case we are unable to remit those payments, you will have recourse against us and not the Buyer directly subject to these Terms.
  • You acknowledge our authority to legally bind you for goods or services you sell through Payment Link Service.
  • ‘Buyer’ means the person (natural or legal) who pays you for the goods and services using Payment Link Service.

Your rights and obligation

  • You can use Payment Link Services to receive payments from Buyers who use card-based payment methods to pay for your goods or services.
  • You shall comply with all applicable laws while selling goods or services through SadaPay.
  • You agree to supply goods or render services to the Buyer as per the agreed terms in a timely manner. You will remain solely responsible for the goods or services sold through Payment Link Service.
  • We shall not be liable to you or any third party in any manner whatsoever for the goods or services you sell or receive payment through the Payment Link Service. All warranties, representations, and liabilities are expressly excluded.

Restrictions and closing your account

  • You cannot sell goods or services on behalf of any third party.
  • You cannot use Payment Link Service for any personal, family, household or non-business purpose.
  • You cannot sell goods or services, or receive any payment, which:  
  • is against the law;
  • we believe may be linked (directly or indirectly) with money laundering, terrorism financing, bribery, corruption, criminal activity, or fraud;
  • appears deceptive, unfair, or predatory;
  • is prohibited by our contracts with Other Service Providers or, under the terms and conditions or privacy policies of Other Service Providers;
  • infringes or appears to infringe any intellectual property rights of others, including counterfeit goods;
  • If we believe that (a) you have violated these Terms or attempted to violate these Terms; (b) you have exposed us, other users, or Other Service Providers, to any harm, damages, or risk (including fraud, brand or reputational damage or criminal acts); (c) your SadaPay  Account has been compromised or other security concerns exist, or (d) you have provided incomplete, incorrect or untrue user information, we reserve the right:  
  • to not process, put on hold, suspend, or reverse a transaction;
  • to report the transaction to the relevant law enforcement agency;
  • suspend, terminate, and/or close your access to Payment Link Services or any other SadaPay-related service without prior notice; and
  • to claim damages from you.

Disputes and Chargebacks

  • Payments may be disputed by the Buyer for being fraudulent, illegal, suspicious, or unauthorized; where goods or services are defective, undelivered, or delivered late or simply reversed by the Buyer. In this event, these payments may be subject to a ‘chargeback’ in accordance with these Terms and payment network service provider terms applicable from time to time. This means that we may after following the chargeback process reverse the payment amount (“Chargeback Amount”) from you and return it to the Buyer.
  • We will review cases of chargebacks and disputes on your behalf. Although the outcome will vary, we will work hard on resolving disputes in your favor. If the chargeback case allows, we will return parts or full payments back to you, otherwise, the Chargeback Amount will be borne by you.

Chargeback process

  • Upon receipt of a chargeback claim, we will inform you of the Buyer’s ID, order number, Chargeback Amount claimed, and type of dispute i.e. whether fraudulent, unauthorized transaction, defective service or goods, etc.
  • You can accept the chargeback claim or dispute it. If you dispute it, we will require you to share all relevant documentation to substantiate your claim and we may also charge you a nominal fee to investigate the dispute. 
  • You must respond to our correspondence and provide all documentation within three (03) working days of our communication.
  • You expressly allow us to reverse, debit, or freeze the Chargeback Amount from your SadaPay Account(s) at any time. Any associated costs or fees, including without limitation attorneys’ fees and other legal expenses, in relation to the chargeback will be payable by you to us.
  • We do not decide the outcome of the chargeback claim or dispute. But we will inform you of the outcome which may take up to 90 days from the date you dispute the chargeback.

Fees and Taxes

  • We will charge you transaction fees for using the Payment Link Service. You can view the transaction fee once the Payment Link is generated.  We reserve the right to revise these transaction fees  at any time, without any prior notice to you.
  • You are solely responsible for payment of all taxes applicable to your use of Payment Link Service. We may withhold or deduct any taxes from the payment received through the Payment Link Service as per the applicable law.

Disclaimer and Limitation of Liability

  • We or any of our officers, directors, employees, Other Service Providers, affiliates or agents shall not be liable to you for any indirect, incidental, consequential, special or exemplary damages in connection with these Terms or Payment Link Services, including for damages for lost revenue, loss of data, lost profits, anticipated profits, lost business, injury to business reputation, or cost of procurement of substitute services, under any theory of liability or cause of action whether in tort (including negligence), contract or otherwise, regardless of whether we were aware or informed of the possibility of such damages.  
  • Payment Link Services may not always be accessible, uninterrupted, timely, secure, accurate, complete, or error-free. You agree that we shall not be liable for disruptions or impairments of our services.

Indemnification

You will indemnify, defend and hold us and our employees, directors, agents, affiliates, Other Service Providers, and representatives harmless from and against all claims, costs (including reasonable attorneys’ fees), losses, and damages arising out of any claim, action, audit, investigation or other proceeding resulting from (i) your breach of any applicable law, rule or regulation, or of any of the provisions of these Terms; (ii) your wrongful or improper use of the Payment Link Service; (iii) any goods or services sold, or payment received through Payment Link Service; (iv) your violation of any third-party right, including without limitation any right of privacy, publicity rights or intellectual property rights; or (v) any other party’s access and/or use of the services with your username, password or other access information.

Complaints

  • If you have a complaint, please contact us and we’ll do our best to fix the problem.

Changes to these terms

  • We may make changes to these Terms from time to time and shall notify you of such changes. If you do not agree with any of the changes we make, you can let us know and we will close your account. If you owe us any money, you will need to pay it back. If we don’t hear from you, we’ll assume that you’re happy with the changes we made.

Governing Law

  • Any disputes in relation to your use of Payment Link Service will be governed by the laws of England and the courts of Dubai International Financial Center shall have exclusive jurisdiction to adjudicate such dispute.
